1. Scope and provider
These general terms cover individually agreed websites, web platforms, mobile apps, CRM and other software, system integrations, AI integration and business process automation. The provider is Daler Dustov, trading as XV Platform, Neustr. 8, 54518 Plein, Germany; info@xv-platform.de, +49 176 80 688451.
Clients may be businesses or consumers. Their status is determined by law, not by a project label. These terms apply only if validly incorporated; individual agreements take precedence. Separate products such as Logi Pro may have their own terms. Sales of goods, transport and delivery within those products are outside the scope of these terms.
2. Enquiries and contract formation
The website presents services and project examples. An enquiry, prepared email draft or support request alone does not create a paid order. After clarifying the task, the parties agree on an offer. A contract is formed by corresponding declarations, for example acceptance of an individual offer by email. The terms and required information are provided before the contract is concluded.
3. Scope of services and deliverables
The offer or service specification defines the features, target devices, integrations, quality criteria, deliverables, phases and dates. Data migration, source code, documentation, training and the publication method are agreed separately where necessary. The example interfaces on this website illustrate possibilities and are not a complete project specification.
Whether an activity or a specific result is owed depends on the individual contract. An existing platform, customisation or individual development is selected according to the task. Business performance indicators, search engine rankings and app store decisions are not guaranteed unless a specific result has been expressly agreed; mandatory rights remain unaffected.
4. Cooperation and access
The parties identify their contacts and the information, materials, test data and access required. Clients provide only materials and data they are entitled to use. Passwords, API keys and confidential documents are shared through an agreed secure channel with the necessary access permissions.
Obstacles, missing materials and risks to deadlines are communicated. The parties agree on the impact on the plan and the steps required; a delay alone does not create an obligation to pay for a service that was not agreed.
5. Changes to scope
Additional features, new integrations and changes in requirements are discussed before implementation. The parties agree on the impact on fees, deadlines and existing work. A change request alone does not incur additional charges.
6. Fees and third-party services
The accepted offer determines the price, billing model, payment stages, advance payments and due dates. Before the contract is concluded, consumers are informed of total prices including applicable taxes and foreseeable additional costs. These terms do not prescribe a particular VAT treatment.
Paid licences, hosting, domains, developer accounts, app stores, AI models and APIs are included to the agreed extent. Payment, usage limits and possible ongoing costs are agreed separately. The relevant provider terms also apply to third-party services. Visiting this website does not create a subscription.
7. Testing, handover and acceptance
The parties agree on a test version, testing of relevant processes, handover and any acceptance required for the type of contract. Deviations from the agreed requirements are documented and addressed. Contracts for work are subject to the agreed and statutory rules on acceptance and defect remedies. These terms do not introduce an additional contractual presumption of acceptance based solely on silence.
Production deployment, data migration, app store publication and transfer of access take place through an agreed procedure. Backups and rollback options for changes to a live system are defined in the rollout plan.
8. Source code, licences and usage rights
The contract determines the extent, purpose and timing of rights granted to software, design, content and documentation. Source code delivery, repository access and editing rights are agreed separately. Unless otherwise agreed, the statutory rules apply.
Third-party libraries, fonts, images and open-source components are subject to their respective licences. Significant dependencies and restrictions are disclosed during the project. Publishing a client project as a reference is agreed separately.
9. AI and automation
For AI features, the parties define the tasks, permitted inputs, model providers, assessment criteria, limitations and human approvals. Generated outputs may contain errors; review procedures and permitted uses depend on the intended purpose. Agreed quality requirements and statutory defect remedies remain unaffected.
Integrations require the agreed interfaces and access rights. Before connecting a service, we consider data transfers to external providers, retention, possible access from third countries and use of data for model training. These terms do not give general permission to send arbitrary client data to external AI services.
10. Support and further development
Hosting, maintenance, updates, monitoring, backups, response times and further development are included to the extent agreed. The duration, fees and termination of ongoing services are agreed separately. Mandatory statutory obligations, including applicable update obligations for digital consumer products, remain in force independently of an additional maintenance contract.
11. Confidentiality and data protection
Confidential information is used for its intended purpose and made available only to those who need it; statutory disclosure obligations remain unaffected. Website enquiries are covered by the Privacy policy.
If we process personal data on behalf of a client, any required agreement under Article 28 GDPR, instructions, access and safeguards are defined before processing begins. These terms do not replace that agreement.
12. Defects and liability
Statutory rules on defects and liability apply. An agreed defect resolution procedure does not exclude statutory claims. These terms neither exclude liability for ordinary negligence across the board nor restrict mandatory consumer rights.
13. Consumers and withdrawal
Consumers may have statutory withdrawal rights for distance and off-premises contracts. Before a binding order is placed, the information required for the specific contract and, where applicable, withdrawal instructions and a model withdrawal form are provided on a durable medium.
An early start to services, the start of performance for digital content and the consequences for withdrawal rights are agreed separately and expressly where required by law. A website enquiry or consent to processing an enquiry does not waive withdrawal rights. The applicable specific consumer rights for digital products are taken into account.
14. Dispute resolution and final provisions
We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board. Mandatory consumer protection remains unaffected. No exclusive jurisdiction is agreed for consumers. If a provision is invalid, the statutory rules apply.
